Terms and Conditions of sale for B2B

All goods and services (“Products”) supplied by Sasy n Savy Pty. Ltd. (“Sasy n Savy”) are supplied on these term and conditions:

ii. No order will be binding on Sasy n Savy until accepted by Sasy n Savy. All quotes remain valid for 30 days.

An individual contract for the supply of Products, on these terms and conditions, is formed on acceptance by Sasy n Savy of an order from the customer.

Sasy n Savy reserves the right to accept any order in whole or part.

Where Sasy n Savy makes a part delivery of any order, such delivery shall constitute a separate contract.

No order may be cancelled or varied after acceptance by Sasy n Savy. If client has paid for their order a 100% cancellation fee will be imposed plus any other cost associated to finalise the matter.

iii All credit orders are accepted by Sasy n Savy subject to satisfactory credit approval of the customer, which may be withdrawn at any time.

Where credit approval has not been granted, or is withdrawn, all payment for all products supplied is required prior to delivery.

Where credit has been granted payment for the Product is to be made on or before 7 days or as agreed. Payment must be made in full without set off or deduction. Sasy n Savy will investigate and disputed amounts and if resolved in favour of the customer, a credit number will be issued to the Customer before the goods are returned.

iv Ownership in the Product does not pass to the Customer until the Customer has discharged all outstanding indebtedness, whether in respect of the Products or otherwise, to Sasy n Savy. Risk in the Products will pass on delivery to the customer. Goods remain property of Sasy n Savy until fully paid for. Payment by credit card may incur bank charges.

v Sasy n Savy reserves the right to charge for delivery of the Products at any time including the cost of the pallets, notwithstanding that it may not have previously done so.

Administrative fees may also be imposed for orders under a certain values.

Interest fees of 4% may be charged for overdue accounts.

vi Any Products which are damaged or defective, delivered before their expiry date which are not otherwise in accordance with the Customer’s order, may be returned to Sasy n Savy within 7 days of delivery. Prior written credit number needs to be issued by Sasy n Savy to the client. The Customer then returns the goods to Sasy n Savy with the approved credit number on the paper work to obtain a credit:

a) Except for specially purchased Products, Products specifically tailored for the Customer’s requirements.

b) Provided that it does so within 7 days of delivery and a return authorisation is obtained from Sasy n Savy.

c) Provided that the Products are in their original packaging, unopened, of a current design or supply, and otherwise as new and in a saleable condition

d) At the Customer’s own expense, or to the Customer’s account, and

e) On the basis that risk in the Products remains with the Customer until the Products are received by Sasy n Savy, and that a restocking or return fee may be charged.

vii Where Sasy n Savy has agreed to produce and/or distribute products specifically for the Customer, the Customer must within 14 days of request purchase all stock then warehoused and held at the then prevailing sell price or storage rates of $ 30 per week will apply per pallet.

viii Except for those required or implied by legislation, Sasy n Savy give no express warranty in relation to products and services supplied to the Customer and the Customer acknowledges that it has not relied on any representation or warranty made by or on behalf of Sasy n Savy.

Certain legislation may imply conditions and warranties into these terms and conditions.  To the extent of such conditions and warranties may lawfully be excluded, all such conditions and warranties are expressly excluded.

The liability of Sasy n Savy under or rising out of supply of goods and Services for breach of any term, condition or warranty implied in or imposed upon the supply of goods and/or services by legislation, shall be limited, at the option or Sasy n Savy to:

a) If the breach or liability relates to goods:

  • the replacement of the goods or the supply of equivalent goods
  • the repair of the goods
  • the payment of the cost of replacing the goods or acquiring goods or
  • the payment of the cost of having the good repaired

b) If the breach or liability relates to service:

  • the supply of service again: or/
  • the payment of the cost of having the service supplied again

Except as expressly provided above, Sasy n Savy shall not be under any liability to the Customer in respect of any loss or damage (including consequential or indirect loss or damage or loss of profits) however caused which may be suffered or incurred or which may directly or indirectly in respect of the products, any services supplied by Sasy n Savy or the failure of Sasy n Savy to comply with these terms and conditions.

ix For private label orders the customer is responsible to check and approve all final artwork, sampling and packaging. The suitability of the goods is the customers responsibility and decision. Sasy n Savy is not liable or responsible for any financial losses where the client provides artwork, packaging or certain ingredients. For indent orders quantity supplied may vary + / – 15%. Lead time and delivery will vary from the time of ordering.

x These terms and conditions will apply to the exclusion of all other terms and conditions contained in the Customer’s order.  In the event of any consistency, Sasy n Savy will be deemed by delivering the Products to the Customer or supplying to the customer, to have made an offer to the Customer to sell Products or supply the service pursuant to these terms and conditions, which offer will be deemed to have been accepted if the Customer retains the Products or accepts the services.  Sasy n Savy reserves the right to change these Terms and Conditions at any time.

xi Sasy n Savy reserves the right to recover from the Customer all goods and services tax (GST) payable in respect of the supply of goods and services to the Customer.

xii These terms and conditions are governed by and will be construed in accordance with the laws of New South Wales and the parties agree to submit to the jurisdiction of courts of that state.

xiii The failure by Sasy n Savy to exercise or any delay in exercising, any right, power or privilege available to it under these terms and conditions will not operate as a waiver thereof or preclude any other or further exercise thereof or the exercise of any other right or power.

xiv By placing an order, the Purchaser acknowledges that the goods are being purchased subject to the Terms and Conditions of sale stated above.
